Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CertLock platform operated by CertLock Technologies LLC ("CertLock", "we", "us", or "our"). By creating an account, accessing, or using the service, you agree to be bound by these Terms.

1. The Service

CertLock is a software platform that helps organizations track employee licenses, certifications, expirations, and related documents. The service is provided on a subscription basis and may change over time.

2. Accounts & Access

• You must provide accurate information and keep your account details up to date.
• You are responsible for maintaining the confidentiality of login credentials and for all activity under your account.
• You may not use the service for unlawful purposes or to violate the rights of others.

3. Customer Data

"Customer Data" includes information you (or your authorized users) upload or enter into CertLock, including employee and certification data. You retain ownership of Customer Data. You represent that you have the legal right to collect and use such data and to provide it to CertLock for processing as part of the service.

4. Subscription, Billing, and Payments

• Subscriptions are billed in advance and renew automatically unless cancelled.
• Payments are processed by Stripe. CertLock does not store full payment card details.
• Fees are generally non-refundable except where required by law or as explicitly agreed by CertLock in writing.
• We may change pricing or plans in the future. If pricing changes apply to you, we will provide notice as required.

5. Acceptable Use

• Do not attempt to access other tenants’ data.
• Do not reverse engineer, exploit, or abuse the service.
• Do not upload malicious files or content.
• Do not use the service to send spam or unauthorized messages.

6. Compliance & Disclaimer

CertLock is a tracking and organizational tool. You are solely responsible for compliance with any laws, regulations, workplace rules, or industry requirements related to licenses and certifications. CertLock does not provide legal advice, regulatory advice, or guarantees of compliance.

7. Service Availability

We strive to keep CertLock available, but the service may occasionally be unavailable due to maintenance, upgrades, outages, or events beyond our control. The service is provided on an "as is" and "as available" basis.

8. Termination

You may cancel your subscription according to your billing settings. We may suspend or terminate access if you violate these Terms, pose a security risk, or misuse the service.

9. Limitation of Liability

To the maximum extent permitted by law, CertLock will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the service.

10. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law principles.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the service after changes become effective constitutes acceptance of the updated Terms.
